Yaqut Terms of Service

These Terms of Service ("Terms") are an agreement between you and Yaqut ("Yaqut", "we", "us") governing your use of the Yaqut creator operating system at yaqut.ai and related services (the "Service"). By creating an account or using the Service you agree to these Terms and acknowledge the Yaqut Privacy Policy. If you use Yaqut on behalf of an organization, you confirm you have authority to bind that organization.

1. The Service

Yaqut is a workspace for content creators and creator managers: content creation and review, publishing to connected platforms, livestreaming tools (captions, translation, AI dubbing, moderation), engagement management, repurposing, analytics, and team collaboration. Features vary by plan, configuration, connected platforms, and provider approvals.

2. Eligibility and accounts

You must be at least 16 years old (or the higher minimum age required in your jurisdiction) and able to form a binding contract. You must provide accurate registration information, keep your credentials confidential, and promptly notify us of any unauthorized access. You are responsible for activity under your account.

3. Workspaces, roles, and managed creators

Yaqut organizes work into organizations (workspaces) with roles such as creator and manager. Workspace members can access workspace content according to their role. If you add a manager or team member, you authorize them to act within the permissions of their role, including reviewing, approving, scheduling, and publishing content where their role allows. You are responsible for who you invite. A manager operating a creator's account must have the creator's authorization to do so.

4. Connected platforms

You may connect third-party accounts (such as YouTube, Instagram, Facebook, TikTok, Twitch) via each platform's official authorization flow. You must comply with each platform's own terms and policies; connecting them to Yaqut does not exempt you from those rules. Platform features depend on the permissions you grant, platform API availability, and in some cases the platform's review or approval of Yaqut's integration. Platforms may change or restrict their APIs, suspend accounts, or remove content, and Yaqut is not responsible for such third-party decisions. You can disconnect a platform at any time in Settings.

5. Your content and license to Yaqut

You own your content. Yaqut claims no ownership over the content you upload, create, record, or publish. You grant Yaqut only the limited, non-exclusive, worldwide license reasonably necessary to operate the Service: to host, store, process, transcode, transcribe, translate, dub (where you have authorized it), analyze, generate previews and captions for, display within your workspace, and transmit or publish your content strictly according to your (or your authorized team's) instructions. This license ends when the content is deleted from Yaqut, except for limited backup and audit retention. Yaqut does not acquire any right to exploit your content commercially for its own purposes.

6. Your responsibilities for content

You are responsible for the content you upload and publish, including having all necessary rights: copyright, music licensing, image and video rights, personality/publicity rights of people appearing in your content, and any disclosures required for brand or sponsored content. Voice cloning and dubbing of a real person's voice require that person's explicit consent; Yaqut records such consent and watermarks generated audio. You must not upload content that is illegal, infringing, or violates the acceptable-use rules below.

7. AI features

Yaqut provides AI-assisted output: transcripts, translations, dubbing, moment suggestions, engagement triage, suggested replies, and performance insights. AI output can be wrong. You and your team are responsible for reviewing content before it is published externally. AI suggestions are drafts, not promises; Yaqut does not autonomously publish externally visible content without an instruction from your workspace. Yaqut does not guarantee views, followers, engagement, revenue, virality, or acceptance by any platform.

8. Publishing and availability

Publishing depends on third-party APIs, granted permissions, provider availability, and platform policies. Publish jobs can fail for reasons outside Yaqut's control; Yaqut surfaces failures and retries transient errors but does not guarantee delivery. Scheduled publishing occurs on a best-effort basis. Some integrations remain limited until the relevant platform completes its review of Yaqut (for example TikTok direct posting).

9. Payments and tips

Where tipping or paid features are enabled, amounts, currencies, platform fees, and payout terms are shown at the point of use. Payment processing is handled by payment providers under their own terms. You are responsible for taxes applicable to amounts you receive. Refunds for tips are handled per the payment provider's rules and applicable law.

10. Acceptable use

You must not: use the Service for illegal content or activity; infringe intellectual property or privacy rights; harass, defame, or abuse others; send spam or deceptive engagement; impersonate any person or entity; misrepresent AI-generated media in a deceptive manner; attempt unauthorized access to accounts, systems, or data; probe, disable, or disrupt the Service; manipulate platforms in violation of their rules; scrape private APIs; or resell the Service without our written agreement. We may throttle, suspend, or terminate accounts that violate these rules.

11. Yaqut intellectual property

The Service — including software, design, logos, and the Yaqut and LiveShield names — belongs to Yaqut or its licensors. We grant you a limited, revocable, non-transferable right to use the Service per these Terms. If you send us feedback, we may use it to improve the Service without obligation to you.

12. Beta features and changes

Some features may be marked beta, preview, or experimental; they are provided as-is and may change or be withdrawn. We may modify the Service over time. If a change materially reduces core paid functionality, we will provide reasonable notice where practicable.

13. Term, suspension, and termination

You may stop using Yaqut and delete your account at any time in Settings → Account. We may suspend or terminate access for material breach of these Terms, legal requirements, security risk, or extended non-payment where applicable. Upon termination, your license from us ends; Section 5's license from you ends subject to limited backup/audit retention; and provisions that by nature survive (including Sections 11 and 14–16) survive.

14. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that AI output will be accurate or fit for any particular purpose.

15. Limitation of liability

To the maximum extent permitted by law, Yaqut will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total liability for all claims relating to the Service in any 12-month period is limited to the greater of the amounts you paid Yaqut in that period or USD 100. Nothing in these Terms excludes liability that cannot be excluded by law.

16. Indemnity

To the extent permitted by law, you will indemnify Yaqut against third-party claims arising from your content, your use of the Service in violation of these Terms, or your violation of law or third-party rights, including reasonable legal fees.

17. Governing law and disputes

These Terms are governed by the laws of the operator's country of establishment, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction, unless mandatory consumer-protection law in your country of residence provides otherwise. Before formal proceedings, contact us at support@yaqut.ai — most issues can be resolved directly.

18. General

If a provision of these Terms is unenforceable, the rest remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms and the Privacy Policy are the entire agreement regarding the Service. We may update these Terms; material changes will be versioned, dated, and presented in the product, and continued use after the effective date constitutes acceptance where permitted by law.
